Register a limited company (Ltd) in Nigeria
Full incorporation of your private limited company with CAC — name reservation, memorandum & articles, directors and shareholders, stamp duty and certificate. From ₦60,000 all-in, 1–2 weeks, anywhere in Nigeria.
A private limited company (Ltd) is a separate legal person from its owners. That means limited liability, a structure investors understand, eligibility for government and corporate contracts, and a stronger reputation with banks and big clients. It is the structure you need if you plan to grow, raise money or work with organisations that require an RC number.
Topweb Technologies prepares the objects clause, share structure and all CAC forms, pays stamp duty and filing fees, and follows up until your certificate of incorporation is issued.
- Name reservation and availability check
- Memorandum & articles of association
- Directors, shareholders and share capital set up correctly
- Stamp duty and CAC fees paid
- Certificate of incorporation, status report, CTC

Company registration — frequently asked questions
How much does it cost to register a company in Nigeria?
A private limited company with share capital up to ₦1,000,000 costs from ₦60,000 all-in with Topweb — CAC filing fee (₦30,000), stamp duty on the share capital, name reservation and our service fee. Higher share capital attracts higher CAC fees and stamp duty; we quote exactly before you pay.
How long does company registration take?
About 1–2 weeks: 1–2 days for name reservation, then filing and CAC approval. Complex objects or a queried name can add a few days. We handle all queries the same day.
What is the minimum share capital for a company in Nigeria?
The legal minimum for a private company is ₦100,000, but most banks, clients and tenders expect at least ₦1,000,000. Some regulated sectors (e.g. finance, oil & gas, aviation, security) have much higher minimums. We advise on the right figure for your industry.
Can one person register a limited company?
Yes. Since CAMA 2020 a single person can be the sole director and shareholder of a private limited company.
Do I need a company secretary?
Small companies are not required to have a company secretary. Larger companies must. We’ll tell you which applies to you.
Can a foreigner own a company in Nigeria?
Yes — foreigners can own 100% of a Nigerian company, but a foreign-owned company generally needs a minimum share capital of ₦100,000,000 and subsequent registrations (NIPC, business permit, expatriate quota). We handle CAC incorporation and can guide you on the rest.
Business name or limited company — which is better?
A limited company gives you limited liability, a separate legal identity, easier access to loans, investors and government/corporate contracts, and looks more credible. A business name is cheaper and faster. Compare here.
What documents do I receive?
Certificate of incorporation with your RC number, memorandum and articles of association, status report / extract, and the approved forms listing directors and shareholders. That is what banks require to open the corporate account.
